[legalxml-sc] Bylaws change and MS SC elections

LegalXML MS SC:  As you're aware, the Board placed a moratorium on MS SC election last  October due to questions that were raised about conflicts between the  OASIS Bylaws and the MS Rules of Procedures.  In the meeting today of the OASIS Board, a change to the OASIS Bylaws  was approved. In Article 12 Section 3 (having to do with member  sections) the third paragraph was changed to read as follows:  "Every member may, at the time it joins or renews its membership in the  corporation, or within 60 days of the creation of a new member section,  join or renew its membership in that member section and allocate a  portion of the membership fee it pays to the corporation to such member  section. The maximum amount any member shall be allowed to so allocate  shall be established by the Board of Directors. If a member joins more  than one member section then the allocated amount will be shared equally  among all member sections that the member joins."  The change is to allow OASIS members to join a member section within the  first 60 days after the MS is formed (which is moot for you, as your MS  is already older than that), and to specify that dues allocations are  equally shared between all member sections that the member joins (which  has been our long-standing policy, but now added to the Bylaws). In addition, the Board made a change to the RoP of the LegalXML MS. The  change restricts voting for the steering committee to member section  members only, as required by the Bylaws. In RoP section 1.b.(i) the  first phrase is added:  "The LegalXML Member Section members in each OASIS LegalXML Member  Section Technical Committee shall elect a member of the Technical  Committee to the OASIS LegalXML Member Section Steering Committee."  My reading of the Bylaws Art.12 Sect.3 allows the Board to revise your  RoP without your agreement, but I suggest that it would be a good thing  for you to ratify this change. Please also modify your copies of the  RoP, including the version published on your web page.  The Board has also lifted the moratorium on MS SC elections, based on  the Bylaws and RoP change. (So essentially if you don't agree to this  change then you can't have elections :-)  I'll have a new version of the Bylaws posted soon.  -Karl
